Terms of Use

Effective October 7, 2026

These terms are the agreement between you and [operator name] (“we”, “us”), who runs Genpad. They apply to the Genpad website and app (the “Service”). Please read them with the Privacy Policy and the Risk Disclosure. You accept them when you tick the box before connecting a wallet, and by using the Service.

A few details, shown in brackets, are still to be filled in. They will be before Genpad launches on mainnet.

1.What Genpad is

Genpad is a website that lets you launch tokens and trade them through smart contracts on GIWA, a blockchain network. The website is an interface: it prepares transactions, and your wallet signs and sends them. The contracts run on the blockchain on their own, and every launch and trade happens there, not on our servers.

Genpad currently runs on GIWA Sepolia, a test network. Tokens and test ETH on it have no monetary value, and the network or its data may be reset. Parts of the Service may show simulated market data, which is labelled as such.

We never hold your funds, your tokens or your wallet’s keys, and we can’t move, freeze, reverse or recover anything in your wallet.

2.Who can use Genpad

You may use the Service only if all of these are true:

  • You are at least 19 years old, or the age of majority where you live if that is higher, and can enter into a binding agreement.
  • Using the Service is lawful where you live and where you use it.
  • You are not subject to sanctions, and you are not using the Service on behalf of anyone who is.
  • You use the Service for yourself, or with authority for the organisation you act for.

We may restrict access to the Service from certain places, or to certain wallet addresses, where the law requires it or to protect the Service and its users.

3.Your wallet

To launch or trade you connect a wallet that you control. You are responsible for keeping its keys and recovery phrase safe, and for every transaction it signs. If you lose them, nobody, including us, can get your assets back.

Blockchain transactions are final once they are confirmed. We can’t cancel or reverse them. A transaction that fails, for example because the price moved past your slippage limit or its deadline passed, can still cost network fees.

Before you sign, check what your wallet shows you: the network, the amounts and the contract you are interacting with.

4.Launching a token

When you launch a token, the launch contract creates it with a fixed supply of 1,000,000,000 tokens, puts the whole supply into a Uniswap V3 pool against ETH and locks that liquidity permanently. You receive no allocation. You may make a first buy in the same transaction, up to 50,000,000 tokens (5% of the supply).

Everything you give for a token, its name, ticker, description, links, image and banner, is published. The name and ticker are written to the blockchain; the rest is uploaded to IPFS, a public file network, before your wallet asks you to confirm the launch. Published content is public and permanent: we can’t edit or delete it, even if you don’t complete the launch.

You are responsible for the content of the tokens you launch. You must have the right to use it, and it must not:

  • infringe anyone’s copyright, trademark or other rights;
  • impersonate a person, company or project, or suggest an endorsement that doesn’t exist;
  • mislead buyers, for example by promising returns, or be part of a scam;
  • be illegal, hateful, violent or sexual, or exploit minors in any way.

We may hide a token, its content or its links from the Service if we believe it breaks these terms or the law. Hiding it from the Service doesn’t remove it from the blockchain or IPFS.

5.Trading

Each token trades in its own Uniswap V3 pool, at the price that pool sets from its supply and the trades made in it. We don’t set or guarantee prices, and we don’t act as a counterparty to your trades.

When you trade you choose a slippage limit, and the trade fails rather than fill at a worse price. For the first 60 seconds after a launch, no single transaction can take more than 10,000,000 tokens (1% of the supply) out of the pool.

A trade can carry a short note, a thesis, of up to 280 bytes. Notes are written to the blockchain: they are public and permanent.

6.Fees

  • Launch fee: 0.001 ETH per launch, paid to the protocol. The administrator can change it, up to a maximum of 0.1 ETH, through a timelock with a one-day delay. A launch never charges more than the maximum you approve.
  • Pool fee: 1% of every trade, set in the contracts and unchangeable. Half goes to the token’s creator and half to the protocol, also fixed. It is collected in ETH and in the token.
  • Network fees: every transaction pays gas to the GIWA network. We don’t receive it.

We charge nothing else: there are no account, deposit or withdrawal fees, and tokens launched on Genpad have no transfer tax.

7.Creator fees

The creator of a token earns half of its pool fees. Anyone can trigger a collection, which pays both the creator and the protocol. The creator can move their payouts to another address in two steps, a proposal and an acceptance by the new address.

Collecting fees is a blockchain transaction that you pay gas for. We can’t collect fees on a creator’s behalf or redirect them.

8.Verified creators

A verified badge means that, when the token was launched, the launching address held an identity attestation from Upbit Korea, read from the public Dojang contract on GIWA. We don’t verify anyone’s identity ourselves and never receive identity data.

The badge is not an endorsement or a guarantee of the creator, the token or its value, and it isn’t checked again after the launch.

9.What you must not do

  • Break any law, including laws against fraud, money laundering, terrorist financing and sanctions evasion.
  • Manipulate prices or volumes, for example by wash trading, or deceive other users.
  • Attack, overload or interfere with the Service, the indexer or the infrastructure behind them, or get around their rate limits.
  • Exploit a bug instead of reporting it to us.
  • Use the Service to infringe anyone’s rights or to publish the content listed in “Launching a token”.

If you do, we may block your access to the Service. The contracts keep working for everyone regardless, since we can’t restrict them.

10.No advice

Nothing on Genpad is financial, investment, legal or tax advice, or a recommendation to buy or sell anything. Token descriptions and links are written by their creators, not by us. You are responsible for your own decisions and for any taxes on your activity.

11.Services we don’t run

The Service relies on things we don’t control: your wallet and its software, the GIWA network and its operators, RPC providers, the Uniswap V3 contracts, IPFS and its gateways, the block explorer, the bridge and the faucet. They have their own terms, and we aren’t responsible for their availability, security or actions.

12.Intellectual property

The Genpad name, logo, design and website belong to [operator name] or its licensors. Where our code is published under an open-source licence, that licence applies to it.

You keep the rights to the content you publish. Because it is public on the blockchain and IPFS, you allow us and anyone else to display it as part of showing your token.

13.Changes to the Service and these terms

We may change, pause or stop the website at any time, for example to fix problems or to move from the test network to the main network. The contracts on the blockchain keep working without the website.

We may update these terms. The date at the top changes when we do, and the Service asks you to agree again before you next connect a wallet. If you don’t agree, stop using the Service.

14.Disclaimers

The Service is provided as it is and as available. The contracts have not been audited yet, and they or the website may contain errors. To the extent the law allows, we make no promises that the Service will be uninterrupted, error-free or fit for any particular purpose, or about the value of any token.

15.Our liability

To the extent the law allows, we are not liable for losses arising from:

  • price movements, or the loss of value of any token;
  • your wallet, your keys or transactions you signed;
  • the blockchain, the contracts or services we don’t run;
  • content published by other users;
  • interruptions of the website, or events beyond our reasonable control.

Nothing in these terms limits our liability for losses we cause intentionally or through gross negligence, or any liability the law doesn’t allow us to limit.

If you break these terms or the law and someone makes a claim against us because of it, you are responsible for the losses that causes us, to the extent the law allows.

16.Governing law and disputes

These terms are governed by [governing law]. Disputes about them go to [competent court], unless the law where you live gives you the right to bring them elsewhere.
